This is a common question to be found in FAQs so please add it to your FAQ.
Possible answers:
1) Always uninstall first the old version.
2) Don't uninstall only if it's the same major number (e.g. uninstall when upgrading v1=>v2, but not when upgrading v2.64=>v2.71 even though, say, v2.71 stores the fake registry changes inside the real registry and not in a file like v2.64. Also, it uses whole other methods to work in general).
3) Trust the author and just never bother uninstalling. Outdated components would always be stopped and deleted, etc.

Tzuk's software is better behaved than most, so if he says,"upgrade" is OK, you can believe it. There's some safety from the fact that each build and upgrade is under the control of the same author.
However, if you have had traumatic experiences in the past with other programs, you will be more comfortable with the full uninstall followed by a reinstall.
With any software that hasn't proven itself, I also follow the "clean slate" principle (Windows uninstall first, followed by ChkCtrl5 uninstall, just to make sure, followed by fresh install). It can be surprising what the second uninstall picks up with some software (but not with Sandboxie).
